1. Services

KIRA Holdings WLL provides AI marketing automation, WhatsApp AI platforms (Lojain), digital loyalty programs (BrandWallet), media buying, business consulting, and influencer campaign management services to businesses in Kuwait and the GCC.

2. Client Obligations

Clients are responsible for providing accurate business information, timely approvals, and complying with Meta's WhatsApp Business Platform policies. Clients must not use KIRA services for spam, illegal activities, or content that violates applicable laws.

3. Payment Terms

All subscriptions are billed annually in advance unless otherwise agreed. Setup fees are non-refundable. Monthly subscription fees are billed at the start of each month. Payments are processed via Tap Payments.

4. Intellectual Property

KIRA retains ownership of all platform technology, AI models, and proprietary tools. Client-owned content (brand assets, product information) remains the client's property. Campaign creative produced under engagement is owned by the client upon full payment.

5. Limitation of Liability

KIRA's liability is limited to the fees paid for the specific service giving rise to the claim in the preceding 3 months. KIRA is not liable for platform outages, changes to Meta policies, or results dependent on third-party platforms.

6. Termination

Either party may terminate services with 30 days' written notice. KIRA may terminate immediately for non-payment, policy violations, or misuse. Upon termination, client data will be available for export for 30 days.

7. Governing Law

These terms are governed by the laws of Kuwait. Disputes shall be resolved in Kuwait courts.
