KIRA Holdings WLL (headquartered in Kuwait) provides AI marketing automation, WhatsApp AI platforms (Lojain), digital loyalty programs (BrandWallet), media buying, business consulting, and influencer campaign management services to businesses worldwide.
2. Acceptance of These Terms
By accessing our services, creating an account, starting a trial, subscribing to, or paying for any KIRA or Lojain service, you confirm that you have read, understood, and agree to be legally bound by these Terms. Subscribing or paying constitutes acceptance — no signature is required. Electronic acceptance, including account creation and payment, constitutes a valid and binding agreement under applicable electronic-transactions legislation, including Kuwait Law No. 20 of 2014 on Electronic Transactions.
3. Client Obligations & Acceptable Use
Clients are responsible for providing accurate business information, timely approvals, and complying at all times with the policies of Meta's WhatsApp Business Platform and every other connected third-party platform. Misuse of the service includes, without limitation: sending spam or unsolicited bulk messages to recipients who have not consented; sending unlawful, deceptive, or abusive content; violating Meta's Business or Commerce policies; and any use that causes a connected platform to restrict, suspend, or disable an account. Misuse is a material breach of these Terms.
4. Payment Terms & Refunds
Subscriptions are billed annually in advance. Payments are processed via Tap Payments. A subscription may be cancelled for a full refund within 7 days of purchase. After 7 days the fee is non-refundable, including any unused portion of the term.
No refund for platform enforcement caused by misuse: if a client's Meta or WhatsApp account, phone number, or business asset is restricted, suspended, or disabled by Meta or any third-party platform as a result of the client's misuse of the service or violation of platform policies (as described in Section 3), all fees paid remain non-refundable in full, and KIRA bears no liability for that enforcement or its consequences.
5. Intellectual Property
KIRA retains ownership of all platform technology, AI models, and proprietary tools. Client-owned content (brand assets, product information) remains the client's property. Campaign creative produced under engagement is owned by the client upon full payment.
6. Limitation of Liability
KIRA's liability is limited to the fees paid for the specific service giving rise to the claim in the preceding 3 months. KIRA is not liable for platform outages, changes to Meta policies, enforcement actions taken by third-party platforms, or results dependent on third-party platforms.
7. Termination
Either party may terminate services with 30 days' written notice. KIRA may terminate immediately for non-payment, policy violations, or misuse. Termination for misuse does not entitle the client to any refund. Upon termination, client data will be available for export for 30 days.
8. Governing Law & International Use
These Terms are governed by the laws of the State of Kuwait, and disputes shall be resolved in the courts of Kuwait. Clients accessing the services from outside Kuwait are responsible for compliance with their local laws; these Terms remain binding and enforceable to the fullest extent permitted by applicable law in any jurisdiction. If any provision is held unenforceable, the remaining provisions remain in full force.
